These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and TROL LTD, the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by TROL LTD and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to TROL LTD and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Intellectual property and acceptable use

TROL LTD is under no obligation to update information on the Website.
  2. Whilst TROL LTD uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

General

  1. You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.
  2. These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.
  3. These terms and conditions together with the Privacy Policy and Cookies Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.
  4. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.
  6. Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
  7. This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.

Other Terms & Conditions

Troldesign Terms and Conditions of Business "Troldesign " is the Online trading name of TROL Ltd.

Definition of our terminology as used within this document:

A 'Project' is any work undertaken or service provided by Troldesign for the Client on their request and as described in our confirmation order email to that Client.

A 'Client' is a person, persons, business or organisation using any of the services provided by Troldesign.

'Live Mode' means the date the website is available on the Client’s chosen domain.

'Domain' is the website address as specified by the Client.

'Hosting' is a yearly cost to keep a clients website activated online.

'Content' is both text and images that the Client requires on the website.

'Mb' stands for megabytes and ‘GB’ stands for Gigabytes and both is a measure of storage space.

Troldesign Terms & Conditions

The contract between Troldesign and the Client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed in writing.

The works to be carried out shall be as set out in the Troldesign confirmation order email.

Email will be the method of contact with regard to all communication. Although Troldesign can be contacted by telephone, we will use email as our method of communication and therefore it is the Client's responsibility to inform us of any change in email address so we always have up to date email contact details. Troldesign cannot be held liable in any way relating to communication issues if we are not supplied a valid email address. Troldesign will acknowledge all emails within 3 working days.

Troldesign will only commence work on a Project after receipt of a non refundable, 60% deposit of the quoted Project fee from the Client. Troldesign will also require 40% payment upon overall approval completion of the website. In some cases the project is split into 3 stages and non-refundable deposit payment is taken at each stage. At our discretion, We may take full payment in some cases or may decide to amend stages of development and stages of payment, depending on the project. The website will be switched to Live Mode once the Clients remaining balance is paid in full.

Final payment is strictly payable within 14 (fourteen) days after the review period is completed.

In some cases we take full payment. We offer to our client a refund should we breach any of our terms agreed prioir the start of the website project. In the event that our client has breached or has directly or indirectly breached any of our terms, we shall not refund on this occasion. Troldesign reserves the right to charge under The Late Payment of Commercial Dept (interest) Act 1998, to charge an administration fee of £15 per month or 8% above the Bank of England base rate for the term of the outstanding debt whichever is greater.

The deposit paid to Troldesign covers the cost of design work carried out as well as any admin work and communication with Troldesign. The deposit is non refundable - This statement explains that should a customer be eligible for a refund after approval of a design and the project is at the coding stage. he /she will only be eligible for refund of the part payment for the coding and not the the part payment for the approved design

In a situation that we have to refund a customer, Refund will be done within 30days from the date it was agreed.

Customer must cancel a project within 30days from the start date of the project, if they are not happy for any reason and we shall give a full refund. If a project is not cancelled within 30days from the start date of the project and it is cancelled after 30days from the start of the project, refund may be given either partly or may not be given partly or in full, depending on the situation.

Troldesign shall expect the Client to carry out sufficient research before proceeding with a website. This will include checking that the website/idea/business will operate legally. It is important that the website is not in any way illegal.

It is important for the Client to keep in contact with Troldesign throughout the entire Project. If a Client does not make contact for 1 week we will make up to 5 attempts to contact the client by email using the email address specified when the client went ahead. If we do not receive a response to these attempts of contact the Project may be terminated, and the deposit will not be refunded.

Where images used on the website have been purchased by Troldesign on behalf of the Client, these images are strictly for use on the website only. Troldesign are not liable for misuse of these images by the Client or any other person’s copying, altering or distributing the images to individuals or other organisations.

Troldesign will host the website on www.trodomains.co.uk , Trodomains is a reseller and the terms and conditions of Trodomains need to be adhered to. The Client is required to register and pay for the relevant Domain Registration and hosting packages on trodomains. In doing so, Trodomains will endeavour to provide a reliable and professional service to the Client at all times but do not guarantee that the website Hosting will be available at all times, especially in the event of a technical failure beyond our control.

Troldesign cannot be held responsible for anything adversely affecting the Client's business operation, sales, or profitability that might be claimed is a result of a service offered by Troldesign.

When asked to provide search engine optimisation for a Client, Troldesign does not guarantee any specific placement or high ranking on search engines.

Troldesign will provide the Client with an expected completion date for the Project (live on the internet) if requested. Troldesign will endeavour to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date. The expected completion date provided by any employee of Troldesign is purely an estimate.

Troldesign owns all design and code of the website until final payment has been received in full. . Once final payment is received, the Client will then own the design and code of the website. Images will have been purchased by Troldesign for the Client, unless the images have been supplied by the Client.

All images displayed on the Client's website will only be used after authorisation by the Client, and are the sole responsibility of the Client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the Client or Troldesign, they will be the sole responsibility of the Client.

Domain names will be registered by Trodomains and if clients want us to register their Domain name it will be registered to the Troldesign current address or if Client may prefer to register their Domain themselves they should register it under Trodomains with customer’s address details. In the event the domain names are registered to Troldesign as per client request, the Client is the legal owner of the domain and if they request to have details changed or the domain transferred elsewhere, Troldesign will do this within a reasonable timeframe.

It is the responsibility of the Client to renew their domain names when due. If a domain name expires, Troldesign cannot be held liable for this. However, Trodomains will make reasonable effort to contact the Client regarding domain renewal.

When a Client renews Hosting with Trodomains, this also includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the Hosting package. If the Client does not renew the Hosting, their domain name could be made available to the public for purchase and Troldesign cannot be held liable for this.

Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was made live. The Hosting will not be renewed if Trodomains cannot contact the Client.

The Hosting renewal charge must be received within 10 days of the Hosting expiry date. Trodomains reserve the right to deactivate any website where the Hosting has expired and the Client has not paid the renewal charge. There will be an admin fee set by Troldesign for reactivating the website/Hosting.

If the Client does not use Trodomains Hosting services, then the management and Hosting of the Domain name are the full responsibility of the Client.

Troldesign has no control of, or responsibility for, the content of Clients’ websites. In no way does the textual or image based Content of our Client's web sites constitute Troldesign endorsement, or approval of the website or the material contained within the website. Troldesign has not verified any of the materials, images or information contained within our Client's web sites and is not responsible for the content or performance of these sites or for the Client's transactions with them. Troldesign provides links or references to our Client's websites solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but does not guarantee or warrant that such links will point to the intended Client site at all times.

Troldesign is not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client's website. The Client is solely responsible for any information or files relating to its website.

If a Domain name is purchased by the Client through a company other than Troldesign , the Client has full responsibility in making sure that the domain name is renewed when due. Troldesign will not renew the Domain name when annual Hosting renewal is due if the Domain name is purchased through a company other than Trodomains.

Troldesign makes no claims that the contents of this website may be lawfully viewed or downloaded outside England and Wales. Access to this website may not be legal by certain persons or in certain countries. If this website is accessed from outside of the United Kingdom, it is done at own risk and the visitor is responsible for compliance with the relevant laws of the visitor’s jurisdiction. The terms and conditions of this website are governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of this website’s Content shall lie exclusively with the courts of England. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect

Payment of the initial deposit automatically indicates acceptance to this Terms and Conditions. We reserve the right to terminate any domain, hosting or website should we be informaed that the website is been used for fraudulent activities
